BY-LAWS

 

Article I Name and Offices

Section 1 – The name of this organization shall be “25 Year Club” hereinafter known as “the Club.”

Section 2 – The club shall maintain an office at the Club President’s BBB/place of business or their residence, should they be retired.

Section 3 – The financial business of the Club shall be carried out in the city where the current elected treasurer resides.

Section 4 – The fiscal year shall begin January 1st of each year and shall end on December 31st of each year.

Article II Purpose and Function

Section 1 – The Club is an exclusive group of various employees of BBB’s and International Association of Better Business Bureaus (IABBB).

Section 2 – The Club serves as the ‘Sages’ of the BBB system. Working with and through all active members, the Club shall: Offer fellowship; as well as promote and further the excellent work done in the BBB system.

Section 3 – In pursuing these objectives, the Club’s activities shall include, but not be limited to, mentoring BBB employees, raising scholarship/award monies, volunteering, training, and maintaining a directory of all Club members and past Club members.

Article III Club Membership

Eligibility is interpreted as someone that has been employed by a BBB on a daily basis, for a period of twenty-five years by September 1st of any given year.

Article IV Cessation of Membership

There will be no revocation of membership in the Club; however, a Club member may become inactive upon notification to the Club officers OR by not paying their annual dues if currently employed as outlined in Article II, Section 1.

Article V Meetings of Members

Section 1 – Annual meetings are not required each year, however, special meetings of members may be held at any time upon call of any of the current elected officers. Notice of meetings shall be given to each Club member by electronic mail, facsimile, or postal mail at least ten days prior to the time of the meeting.

Section 2 – For purposes of meetings held pursuant to Section 1, the presence of five (5) Club members shall constitute a quorum to conduct business. Meetings may be held and business may be conducted via phone, in-person, email or by video conference.

Section 3 – The Club member shall be entitled to cast one vote at all meetings of the Club. A proxy may be sent by any member that cannot attend to a club officer to be received before the meeting.

Article VI Officers

Section 1 – The Club membership shall elect a President, Secretary and Treasurer from the active membership and the elected shall hold office until their successors are duly elected. This group shall be known as Officers and Executive Committee of the Club and shall meet via phone, in-person, email, or by video conference upon the call of any officer.

Section 2 – The Officers shall review finances, maintain the directory of members, and conduct the club business. In addition, the Officers shall be responsible for making recommendations to the Club regarding the annual dollar amount of dues each member shall be invoiced.

NOTE: Retired members of the Club are not required to pay dues. Donations will be welcomed.

Section 3 – The Officers shall be responsible for and not limited to, the following:

  • Consideration and action consistent with prior Club precedent on any matter requiring urgent or timely action.
  • Action to any matter, in the judgment of forming committees, for the purpose of making recommendations to the Club.
  • Any other duties as designated by vote of the Club.

Section 4 – The President shall exercise general management of the Club.

Section 5 – The Secretary shall take and keep true minutes of all meetings, and shall in general, perform all duties as may be assigned by the President or vote of the Club.

Section 6 – The Treasurer shall perform the usual duties of the office, including the oversight of a full and accurate account of receipts and disbursements, and such other financial information for the benefit of the Club.

Article VII Amendments to Bylaws

These Bylaws (except for this Bylaw, number VII) may be altered, amended, or repealed by a two-thirds vote (see also Article V Section 3) of the members of the Club provided copies of the proposed amendments have been submitted to the entire membership of the Club in writing by electronic mail or postal mail not less than three (3) days prior to the vote being taken at a duly called meeting.

The Club shall have the right to interpret or suspend these bylaws upon two-thirds vote of the Club members present at any duly called meeting.
